Annual Report & Statement of Information Requirements

California LLCs and corporations must file a Statement of Information with the Secretary of State on a regular schedule. Learn the deadlines, fees, and what happens if you miss them.

Filing Requirements by Entity Type

California businesses have ongoing filing requirements with the Secretary of State to maintain their good standing status. Missing these filings can result in penalties, suspension of your business, and loss of your right to do business in California.

LLCs must file a Statement of Information (Form LLC-12) within 90 days of initial formation, and then every two years on the anniversary of their filing date. The fee is $20. Corporations file annually — the Statement of Information (Form SI-550 for domestic corps) is due within 90 days of formation and then annually, with a $25 filing fee.
